1. Acceptance of Terms
By accessing or using the SinaLab platform, website, or services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Services.
These Terms constitute a legally binding agreement between you and Area99 GmbH ("Area99", "we", "us", or "our"), operating SinaLab. We reserve the right to modify these Terms at any time, and such modifications will be effective immediately upon posting.
2. Description of Services
SinaLab provides on-premise AI solutions for pharmaceutical research and development, including:
- L-Reg: Regulatory submission automation agent
- L-Synth: Molecular design and synthesis agent
- L-Trial: Clinical protocol design agent
The Services are designed for deployment within your own infrastructure and are subject to separate licensing agreements.
3. Eligibility
To use our Services, you must:
- Be at least 18 years of age
- Have the authority to bind your organization to these Terms
- Not be prohibited from using the Services under applicable laws
- Provide accurate and complete registration information
4. License and Restrictions
Subject to these Terms and payment of applicable fees, Area99 GmbH grants you a limited, non-exclusive, non-transferable license to use the Services for your internal business purposes.
You agree not to:
- Copy, modify, or distribute the Services without authorization
- Reverse engineer, decompile, or disassemble any part of the Services
- Use the Services for any unlawful purpose
- Sublicense, sell, or transfer access to the Services
- Remove any proprietary notices from the Services
5. Data Ownership and Security
Your Data: You retain all ownership rights to data you input into or generate using the Services ("Your Data"). SinaLab does not access, use, or share Your Data except as necessary to provide the Services or as required by law.
On-Premise Deployment: Our Services are designed for on-premise deployment within your infrastructure. Your Data remains within your facility and under your control at all times.
Data Sovereignty Commitment
SinaLab is committed to data sovereignty. We do not transmit, store, or process Your Data on external servers. All AI processing occurs locally within your infrastructure.
6. Warranties and Disclaimers
SinaLab warrants that the Services will perform substantially in accordance with the applicable documentation during the term of your license.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. AREA99 GMBH DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
The Services are tools to assist qualified professionals. They do not replace professional judgment in regulatory, scientific, or clinical decisions.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AREA99 GMBH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.
AREA99 GMBH'S TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO AREA99 GMBH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless Area99 GmbH and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Services, your violation of these Terms, or your violation of any rights of a third party.
9. Termination
Either party may terminate these Terms upon written notice if the other party materially breaches these Terms and fails to cure such breach within thirty (30) days of receiving notice.
Upon termination, your license to use the Services will immediately cease. Sections relating to intellectual property, limitations of liability, indemnification, and governing law shall survive termination.
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to its conflict of law provisions.
Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Berlin, Germany.
